1. Scope, acceptance and definitions
These Terms govern the relationship between the operator of Waveasy and anyone who visits, creates an account, publishes an offer, sends a request or completes a booking. By accepting them, the user declares that they have read and understood them and have the legal capacity to enter into a contract. The specific conditions shown in the offer and booking summary supplement these Terms.
“Operator” means the owner, rental or charter provider, or other party that publishes and provides the boat or experience. “Traveler” means the person who makes the request. “Booking” means the contract relating to the experience, concluded in accordance with section 7. “Platform” means the Waveasy website, restricted areas and services.

3. Role of Waveasy and contract between users
NEOEAST SRL operates a digital marketplace that connects supply and demand: it allows Operators to publish offers and Travelers to search for, request, pay for and manage them. Waveasy does not act as an agent in concluding the boating contract and is not the shipowner, carrier, charterer, lessor, experience organizer, tour operator or employer of the Operator.
The contract for the boat or experience is exclusively between the Traveler and the Operator. The Operator is responsible for the service, the boat, the crew, authorizations, safety and tax obligations. Waveasy remains responsible for its own platform, payment and support obligations to the extent provided by law.
Waveasy does not systematically perform technical inspections of boats and does not replace maritime authorities, registries, insurers or professionals appointed to carry out inspections. Any badges, document checks or verified-profile indications relate only to the expressly identified elements and do not certify seaworthiness, maintenance, safety or quality of service.
4. Eligibility, accounts and verification
The user must be at least 18 years old and have legal capacity. Anyone acting for a company or another person warrants that they have the necessary authority. Personal data, contact details, professional status and tax information must be truthful, complete and up to date.
Credentials are personal. The user must protect the account, must not transfer it and must report any unauthorized access without delay. Waveasy may request proof of identity, ownership, registration, insurance, authorizations and payment details, including through qualified providers. Verification reduces risk but does not constitute an absolute guarantee regarding the user or the service.
5. Offers, availability and ranking
The Operator is responsible for descriptions, photographs, price, taxes, included or excluded services, capacity, times, boarding point, availability and cancellation policy. Before the request, the Operator must also disclose any security deposit, deductible, fuel, cleaning or other extra costs, return rules and reasonable consequences of delay. An item not clearly disclosed before the Booking cannot be imposed through Waveasy, without prejudice to costs or damages subsequently agreed or established in accordance with the law. Waveasy’s preview and review of a listing do not transfer these responsibilities to the Platform.
Results may be ranked according to their match with the searched destination and dates, availability, listing completeness and quality, operational reliability, reviews, verified sustainability and recency. Search relevance and availability normally carry greater weight. Any paid placements are identified as sponsored; where there are none, payment of the standard commission does not improve ranking.
6. Operator obligations
The Operator warrants that it has the right to make the vessel available and complies with the Italian Recreational Boating Code and all rules applicable to the proposed rental, charter, transport or experience. It must maintain valid registration, licenses, boating qualifications, certifications, safety equipment, navigation limits and insurance coverage appropriate to the actual use.
The Operator must correctly state whether they act as a professional or private individual, issue the Traveler the required tax document for the full Booking price, respect consumer rights where applicable, and not request off-platform payments to evade commissions or checks. To publish listings, the Operator must complete the professional and tax profile; to receive paid bookings, the Operator must also activate Stripe. The Operator must disclose any special conditions before acceptance, comply with maximum capacity, use qualified personnel, and provide clear safety instructions.
Before departure, the Operator verifies, within reasonable limits, the contracting party’s identity, required boating qualifications and consistency with the Booking; it delivers a clean and properly functioning boat that conforms to the offer, with the required documents and equipment. At handover and return, the parties must record the condition of the vessel, pre-existing damage, essential inventory, fuel, date and time by means of a signed report or equivalent durable evidence, preferably accompanied by dated photographs or videos, with each party retaining a copy.
The Operator directly handles obligations towards its insurer and informs Waveasy and the Traveler without delay of breakdowns, accidents, seizures, unavailability or loss of eligibility requirements. Reporting to the Platform does not replace reporting to the authorities, calling emergency services or notifying the insurer where required.
7. Formation of the booking
Submitting the request constitutes an offer by the Traveler for the summarized dates, participants, duration and services. The card is authorized through Stripe without an immediate final charge. The Operator normally has 24 hours from authorization to accept.
The Booking is concluded only when the Operator accepts, Waveasy successfully captures payment and confirmation is displayed or sent. If the Operator declines, does not respond within the time limit, availability is not confirmed or payment capture fails, the Booking is not concluded and the authorization is canceled or allowed to expire according to the payment network’s timing.
Before submitting, the Traveler may correct dates, participants and services. The data in the accepted request forms a contractual copy that cannot be changed unilaterally. Electronic communications and confirmations may be retained and reproduced in the restricted area or by email.
8. Prices, payments, commissions and payouts
The total price and selected services are shown before the request. Payment is made to the Operator through their Stripe account using a direct charge. Waveasy charges the Operator a 12% commission including VAT on the Booking amount; 88% is the Operator’s economic share, subject to refunds, reversals and disputes. Stripe fees are paid by Waveasy and are already included in the 12%: they neither increase the Traveler’s price nor reduce the Operator’s 88% share.
The Operator uses its own accounting software to issue the Traveler with the invoice or required tax document for 100% of the price and submits it to SDI where required. Waveasy provides the Traveler’s declared tax details frozen in the Booking but does not issue the document on the Operator’s behalf; the Stripe payment receipt does not replace it. NEOEAST SRL issues the Operator with the tax document for its 12% commission, VAT included. Stripe processes payment data and can apply its own checks, holds, or timing; Waveasy does not store full card details.
Funds remain in the Stripe balance held in the Operator’s name with automatic payouts disabled. The bank payout is initiated after the Traveler confirms completion or, if no issue is reported, automatically 72 hours after the scheduled end and in all cases within 45 days after capture. This mechanism is not an escrow arrangement; final timing and availability depend on Stripe and the bank.
Waveasy may suspend a payout where there are cancellations, complaints, suspected fraud, chargebacks, legal obligations or required checks. No clause authorizes the Platform to withhold amounts due to the Operator without a documented reason.
Payments relating to a request originating on Waveasy must be made using the tools indicated by the Platform. Payments, security deposits or financial arrangements made directly off-platform do not benefit from Waveasy’s tracking, payout-suspension, support or refund procedures. Unless expressly disclosed before the contract and a dedicated feature is available, Waveasy neither collects nor holds security deposits and is not responsible for returning them.
9. Cancellations, refunds and right of withdrawal
The applicable policy is the one displayed in the offer and recorded in the summary when the request is made. If the offer provides for “free cancellation up to 48 hours before,” a request recorded within the relevant time limit entitles the Traveler to an automatic full refund. After that limit, or if the offer is not flexible, cancellation is assessed according to the offer conditions, applicable law, agreements between the parties and documented circumstances.
For services relating to leisure activities scheduled for a specific date or period, the 14-day right of withdrawal may be excluded under Article 59(1)(n) of the Italian Consumer Code. This exclusion does not remove rights relating to non-performance or defective performance, nor a more favorable cancellation policy offered by the Operator.
If the Operator cancels, the Traveler is entitled at least to a refund for services not provided, without prejudice to any further mandatory rights. The refund is issued to the original payment method; the time taken to appear depends on the payment network. Costs or penalties cannot be applied contrary to mandatory law or to what was shown before the Booking.
10. Weather, sea conditions, safety and changes
The skipper and the Operator retain all powers and duties prescribed by law in relation to safety. They may postpone the experience, change its route or duration, require equipment, refuse boarding or end the experience where weather or sea conditions, breakdowns, orders from public authorities, participant conduct or other risks make this reasonably necessary.
Where reasonable, the Operator must offer an equivalent solution, a new date or a proportionate refund. The financial treatment depends on the cause, the party to whom it is attributable, the portion of the service actually provided and the offer conditions. Merely unfavorable weather conditions do not automatically constitute force majeure; particular weight is given to prohibitions by public authorities, port closures, official danger warnings or conditions that make navigation unsafe according to a professionally supportable assessment.
11. Obligations of the Traveler and participants
The Traveler provides accurate information, complies with the stated times, meeting point, capacity and rules, and informs the Operator of any needs relevant to safety. The Traveler is responsible for communicating the conditions to participants included in the Booking and obtaining any required authorizations for minors.
Dangerous or abusive conduct, illegal substances, unauthorized weapons, damage, harassment, discrimination and failure to follow the skipper’s instructions are prohibited. Late arrival, failure to appear or refusal to follow safety rules may result in denied boarding or termination without a refund, subject to proportionality and the law.
Where the arrangement provides for the Traveler to operate the vessel, the Traveler must present valid identification and boating qualifications, check the visible condition, documents, fuel and equipment before departure, comply with navigation and capacity limits and use the vessel with the care of a prudent seafarer. Unless lawful and authorized in writing, the Traveler may not sublet, entrust operation to an unauthorized person, tow other vessels or carry passengers for payment.
The Traveler must return the vessel at the agreed place and time, in the agreed state of cleanliness and with the agreed fuel level, immediately reporting breakdowns, accidents and damage. To the extent permitted by law and supported by evidence, the Traveler is liable for damage, fines, tolls, rescue costs or other consequences directly attributable to their conduct or that of participants for whom they are responsible; the Traveler is not liable for normal wear and tear, pre-existing defects or events not attributable to them.
12. Photographs, text and other content
Anyone uploading content warrants that they are its author or hold all necessary rights and releases, including those of recognizable persons and persons exercising parental responsibility for minors. Content must not infringe copyright, trademarks, confidentiality, image rights, dignity, reputation or other rights, and must not be unlawful, misleading or dangerous.
The user grants Waveasy a non-exclusive, royalty-free, purpose-limited license to host, reproduce, technically adapt, display and distribute the content on Waveasy channels and to promote the offer. The license lasts while the content or relationship remains active and ends upon removal, except for technical copies, evidence, legal obligations and promotional materials already lawfully produced. The user retains ownership.
Content generated or modified using artificial intelligence must not imitate real people without consent or misleadingly alter essential features of the offer. Waveasy promotional images created using AI are identified and do not necessarily depict a real experience.
Trademarks, logos, software, graphics, databases, editorial text and every other element of the Platform other than user content belong to Waveasy or its respective licensors. They may not be copied, extracted, reused or used to create derivative services beyond what is necessary for normal use of the Platform or permitted by law.
13. Reviews and reputation
The ability to leave a review is linked to a completed Booking. Reviews are checked before publication and must describe a genuine experience and be relevant and respectful. Compensation, pressure, fake reviews, undisclosed conflicts of interest and rating manipulation are not permitted.
Waveasy may reject or remove reviews that are unlawful, offensive, unrelated to the experience, contain unnecessary personal data or are clearly inauthentic. It does not remove a review merely because it is negative. Where possible, the author is given the reasons and may request a review of the decision.
14. Prohibited conduct, reports and moderation
Waveasy must not be used for fraud, payment evasion, impersonation, abusive scraping, malware, spam, harassment, discrimination, bribery, money laundering, breach of applicable sanctions or embargoes, other unlawful activities, publication of confidential data or content that infringes the rights of others. It is also prohibited to circumvent security controls, create duplicate accounts to evade suspensions or exchange contact details primarily to avoid the commission on a request originating on the Platform.
A report must identify the content or conduct, explain why it is allegedly unlawful or contrary to the Terms, provide contact details and include a statement of good faith. Waveasy assesses reports promptly and proportionately, may request further information and communicates its decision where required. Knowingly false or abusive reports may result in restrictions.
15. Issues, disputes, chargebacks and cooperation
The Traveler must report an issue from the restricted area within 72 hours after the scheduled end, where the relevant control is available, and in any event as soon as reasonably possible. Reporting suspends the automatic payout while Waveasy gathers messages, photographs, Booking data, location, documents and the parties’ observations.
The parties must cooperate in good faith and preserve evidence. Depending on the case, Waveasy may request Booking confirmation, messages, handover and return reports, dated photographs or videos, location, official reports, insurance communications, estimates and reasonable invoices. An unjustified lack of essential evidence or cooperation within a reasonable period may prevent the Platform from granting the request, without prejudice to the right to pursue the matter before the competent authorities or courts.
Waveasy may facilitate a solution and administer a refund or payout based on documented facts, applicable conditions and the payment provider’s instructions. It does not perform technical assessments, does not definitively determine civil or criminal liability and does not replace an insurer, public authority, court or ADR body. The internal procedure does not deprive either party of its rights.
A chargeback does not automatically resolve the merits of the dispute. Subject to the law, the user remains liable for amounts lawfully due and for costs or damages that have been finally established. Waveasy may contest fraudulent disputes using the available evidence.
16. Restrictions, suspension, closure and amendments
Waveasy may restrict content or suspend an account due to violations, security risks, fraud, failure to complete verification, orders from public authorities, user protection or repeated substantiated complaints. The measure must be proportionate. Where permitted by law, the user is given the reasons and an opportunity to provide clarification or request a review.
For professional Operators, complete termination is generally communicated with at least 30 days’ notice. Notice may not apply in the case of legal obligations, urgent risks, fraud, danger, repeated violations or other exceptions provided by law. The Operator may close the account after completing outstanding Bookings, refunds and obligations.
Material amendments to the Terms are communicated on a durable medium with adequate notice, normally at least 15 days for professional Operators. They do not have retroactive effect, except where required by law or where the changes are favorable. After closure, access to data ends, but Waveasy may retain a copy for legal and accounting obligations, security and the defense of rights, as described in the Privacy Policy.
17. Liability, unavailability and force majeure
Nothing limits mandatory consumer rights or liabilities that cannot be excluded by law, including liability for willful misconduct or gross negligence, death or personal injury in the circumstances provided by law. Each user is responsible for their own representations, conduct, obligations and property. The Operator is responsible for performance of the experience and for damage attributable to the boat, crew or activities within its responsibility.
Waveasy is liable for foreseeable direct damage caused by breach of its own obligations. In relationships with professional users and to the extent permitted by law, indirect damage, loss of opportunity or profit, and claims relating to the Operator’s performance are excluded. The Platform does not guarantee uninterrupted availability, but takes reasonable measures for continuity, security and recovery.
No party is liable for delay caused by events beyond its reasonable control, such as measures by public authorities, natural events, port closures, infrastructure unavailability or emergencies, without prejudice to the obligation to mitigate the effects, provide notice and return amounts due for services not provided.
To the extent permitted by law and in proportion to their responsibility, the user indemnifies Waveasy against third-party claims arising from breach of the Terms, false representations, unlawful content, unauthorized use of the boat or failure to comply with obligations incumbent on the user. The indemnity does not apply to matters attributable to Waveasy and does not limit mandatory rights.
The Platform may contain links to or services from third parties. Waveasy does not control or warrant the content, availability or terms of such parties and is not liable for their actions, except for its own liability that cannot be excluded. The user must read the third party’s terms before using its service.
18. Data, tax obligations and communications to public authorities
The processing of personal data is described in the Privacy Policy. The Operator and Traveler authorize the sharing of data strictly necessary for the booking, safety, payment, support and compliance, in accordance with their respective privacy roles.
The Operator remains responsible for declarations, invoices, receipts, taxes, contributions and authorizations. Waveasy may collect, verify and communicate identity, tax code, residence, financial details, consideration, commissions and number of activities to tax authorities or other bodies where required, including obligations applicable to digital platform operators. Refusal to provide mandatory data may prevent publication or payout.
Other users’ data received through Waveasy may be used only to perform the Booking, comply with legal obligations or manage a dispute. It must not be used for unsolicited marketing, disclosed to third parties or retained beyond what is necessary without an appropriate legal basis.
19. Governing law, complaints and disputes
Italian law applies. Consumers retain the mandatory protections granted by the law of their country of residence and may bring proceedings before the court of their place of residence or domicile where provided by the Italian Consumer Code. For professional users, the courts where the Platform operator has its registered office have exclusive jurisdiction, unless otherwise required by mandatory law.
Before taking action, the user is invited to send a detailed complaint to the support contact. Consumers may also refer the matter to an alternative dispute resolution body included in the registers provided for by law. Any participation by the Platform operator in a specific ADR procedure is communicated in response to the complaint or in the applicable pre-contractual information.
The European ODR platform has no longer been operational since July 20, 2025. For matters relating to obligations under the Digital Services Act, users may still contact the competent Digital Services Coordinator.
These Terms, the Booking summary, the recorded cancellation policy and the specific conditions of the offer constitute the agreement applicable between the parties for their respective subject matters. In the event of conflict, the specific conditions accepted for the Booking prevail, except that these Terms govern the relationship with Waveasy and subject to mandatory law. If any clause is invalid, the remaining clauses are unaffected; failure to exercise a right does not constitute a waiver.
